Kenneth B. Cera, a founding partner of the Firm, has practiced law since 1985 and his practice includes all aspects of transactional law and taxation. He established the firm’s Manhattan office in 2003, and has worked extensively in venture capital, fashion, technology, crypto currency, and many other industries. His practice emphasizes venture capital and finance, mergers and acquisitions, company formation and structure, taxation, secured and unsecured lending, and intellectual property transactions.

Mr. Cera specializes in venture capital transactions, and works extensively as counsel to General Catalyst Partners and other venture investors. He typically works on and closes over 50 venture capital financings and exits per year. He recently represented the large crypto currency company Poloniex on its sale to Circle. He also has worked for many years in the fashion industry and has represented, among others, Kate Spade, Intermix, Alex Mill, and the Japanese designer Takashi Murakami, in a variety of business transactions. He also represents many companies in other industries, including Land Rover automobile dealerships and investors in the San Francisco Giants, in a large variety of business transactions.

Mr. Cera is an expert in corporate finance, and has worked on a large variety of complex financial transactions for over 30 years, including mergers and acquisitions, debt financings, reorganizations, private placements, and others. These transactions have ranged from the fairly small to hundreds of millions of dollars.

Prior to forming Schwartz & Cera in 1997, Mr. Cera practiced at the law firm Wilson, Sonsini, Goodrich & Rosati in Silicon Valley, as well as the international law firm Coudert Brothers. Mr. Cera received his B.S. degree in business administration from the University of California, Berkeley in 1981, and his J.D. from the University of Chicago Law School, cum laude, in 1985.
